These terms apply to the use of the WoodYouCare Platform by companies and organisations. The Platform is owned by WoodYouCare B.V. WoodYouCare Foundation, which has trees planted and selects projects that are independently verified, is a separate foundation with its own terms.

1 Definitions
In these terms, the following capitalised words mean:
- WoodYouCare, we or us: WoodYouCare B.V., the provider of the Platform.
- Platform: the online service of WoodYouCare with which a Partner makes its contribution through the Foundation visible, including the dashboard, the impact page, the widget, certificates, the evidence record, exports and the API.
- Partner or you: the company or organisation that creates an Account and enters into the Agreement with us.
- User: a natural person who has access to the Platform on behalf of a Partner.
- Account: a Partner's environment on the Platform, with the login details of its Users.
- Plan: the scope of the service the Partner uses: Free, Proof, Share or Automate.
- Agreement: the agreement between WoodYouCare and the Partner on the use of the Platform, of which these terms form part.
- Foundation: WoodYouCare Foundation, the foundation that receives donations, has trees planted and selects the projects, which are monitored and independently verified.
- Donation: a gift from the Partner to the Foundation. A Donation is not a payment to WoodYouCare.
- Planting Data: the data the Foundation shares with the Platform, such as projects, plantings, polygons, species, numbers of trees, monitoring and verification statements.
- Partner Content: everything the Partner puts on the Platform itself, such as a logo, branding, texts and recipient details.
2 Applicability
These terms apply to every offer from WoodYouCare, to every Agreement and to every use of the Platform.
The Platform is intended for companies and organisations acting in the course of their trade or business. By creating an Account you confirm that you act on behalf of a company or organisation and are authorised to bind it.
The Partner's own terms and conditions do not apply, even if the Partner refers to them. Deviations from these terms only apply if we have agreed them with you in writing, including by e-mail.
If a provision of these terms is void or annulled, the other provisions remain in force. We will then replace the provision with a valid one that comes as close as possible to its intent.
These terms exist in Dutch and English. In case of any difference between the two, the Dutch text prevails.
3 Account and registration
You create an Account on the Platform yourself. You provide correct and complete details and keep them up to date.
The Partner is responsible for everything that happens through its Account. Users keep their login details secret and do not share them with others. If you suspect that someone has access to your Account without permission, let us know immediately.
A Donation to the Foundation does not give you an Account. You link your Donations to your Account by confirming the e-mail address you donate with at the Foundation; you receive a code at that address to do so. You only link e-mail addresses your company controls. On request we can link Donations manually, after we have established that they belong to your company.
Partners who were already customers of woodyou.care have their existing data and trees transferred to the Platform. Their Account starts on the Free Plan, with a trial of a higher Plan as announced at the transfer.
We may refuse a registration and suspend an Account if there are signs of misuse, incorrect details or conduct in breach of these terms.
4 Plans, trial and payment
The Free Plan is free of charge and not limited in time. For the Proof, Share and Automate Plans you pay monthly or yearly. The current prices and the content of each Plan are on the pricing page. All prices exclude VAT.
With yearly payment you pay ten times the monthly amount. A paid Plan is renewed for the same period each time, until you cancel.
You pay in advance through Stripe, our payment service provider, with one of the payment methods Stripe offers on its payment page, such as credit card or SEPA direct debit. Invoices and payment details are in the Stripe customer portal, which you open from your dashboard.
A trial gives temporary access to a higher Plan. No payment method is needed. When it ends you automatically return to Free, unless you choose a paid Plan yourself.
An upgrade takes effect immediately. A downgrade takes effect at the end of the current billing period.
If a payment fails, you receive a reminder. If payment is still not made, we may lock the features of the paid Plan until payment is received. Statutory commercial interest is then due on the outstanding amount.
We may change our prices. We announce a price change at least thirty days in advance and it takes effect from the next billing period. If you do not agree, you can cancel before the change takes effect.
Donations are not part of the Agreement. Donations go directly to the Foundation, under its own terms. Platform subscriptions are paid to WoodYouCare; that is a fee for the Platform, not a Donation.
5 Use of the Platform
You may use the Platform for the Partner's own business, within the limits of your Plan.
You do not use the Platform in a way that disrupts it or harms others. You do not try to circumvent its security, decompile the software, read the Platform automatically other than through the API, or overload the Platform.
If you use the API, you follow the documentation and the limits it sets out. API keys are confidential and belong to your Account.
The impact page, the widget, the badge and the certificates are public or meant to be shared. They show the Partner's name, logo and the number of trees the Partner contributes to. The Partner also appears in the public partner overview on the Platform. If you do not want to be listed there, please contact us.
You talk about your contribution the way the Platform shows it: your company contributes to a number of trees through WoodYouCare Foundation. You make no statements about your contribution that go beyond what the Planting Data support. You are responsible for your own communication.
For Partner Content, you warrant that you may use it and that it does not infringe the rights of others. If you enter recipient details, such as customers who receive a tree, you make sure you are allowed to. For that data we are your processor; see the privacy statement.
We do our best to keep the Platform working well and without interruption, but we do not guarantee availability unless we have agreed this with you in writing. We announce planned maintenance in advance where possible. We may change and improve the Platform and its features.
6 Data from the foundation
The Foundation is the source of the Planting Data. It has the trees planted by restoration partners and selects projects that meet its requirements for transparency, monitoring and independent verification. The Foundation shares the Planting Data with the Platform. WoodYouCare does not plant or verify anything itself; the Platform shows the Planting Data.
A verification stamp only appears once the Foundation has published a statement for the project. Until then, the Platform shows "Verification pending".
Planting Data can change, for example when the Foundation publishes a new monitoring or statement or corrects a detail. The Platform takes over those changes. WoodYouCare is not responsible for the accuracy of the Planting Data; questions about it go to the Foundation.
Trees bought or donated through the former woodyou.care website appear on the Platform with the label "via woodyou.care".
7 Intellectual property
All rights to the Platform, the software, the design, the texts and the trademarks of WoodYouCare remain with WoodYouCare or its licensors. While the Agreement runs, you get a non-exclusive, non-transferable right to use the Platform under these terms.
You may use certificates, badges, widgets and exports in your own communication about your contribution, also after the Agreement ends as far as certificates and exports already issued are concerned.
The rights to Partner Content remain with the Partner. You allow us to use Partner Content as far as needed to provide the Platform, such as showing your logo on your impact page, your widget, your certificates and in the partner overview.
The name and logo of the Foundation belong to the Foundation. You only use them as the Platform provides them.
8 Liability
WoodYouCare is only liable for direct damage resulting from an attributable failure to perform the Agreement. Direct damage means reasonable costs to establish and limit the damage, and reasonable costs to remedy the failure.
Our liability is limited per year to the amount the Partner paid WoodYouCare in the twelve months before the event causing the damage.
We are not liable for indirect damage, such as consequential damage, lost profit, missed savings, reputational damage and damage from loss of data.
We are not liable for damage resulting from incorrect or incomplete Planting Data, or from statements the Partner makes about its own contribution.
These limitations do not apply in case of intent or deliberate recklessness of WoodYouCare's management.
You report damage as soon as possible, and no later than twelve months after you knew or could have known about it. After that, the right to compensation lapses.
We are not liable in case of force majeure. This includes a failure at a party we depend on, such as our hosting, Stripe or the Foundation.
9 Cancellation and termination
You can cancel a paid Plan at any time through the Stripe customer portal. The cancellation takes effect at the end of the current month or year. We do not refund the current period.
Afterwards you return to Free. Your data is kept; the features of your previous Plan lock until you choose a paid Plan again.
If you want your Account deleted entirely, please contact us. We then delete your data as described in the privacy statement, except for data we are legally required to keep, such as invoices.
We may suspend or terminate the Agreement if the Partner seriously or repeatedly breaches these terms, does not pay, goes bankrupt or is granted a suspension of payments.
We may discontinue the Free Plan or the Platform as a whole. We announce this at least three months in advance, so you can export your data. Anything you paid in advance for the period after the termination, we refund.
10 Changes
We may change these terms. We announce a change that is unfavourable to the Partner at least thirty days in advance, by e-mail or in the Platform. If you do not agree, you can cancel before the change takes effect. If you use the Platform after that, the new terms apply.
A change that is not unfavourable, such as a clarification or a new feature, may take effect immediately.

11 Governing law
The Agreement and these terms are governed by Dutch law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If you have a complaint, we would like to resolve it together first, following our complaints procedure. If that does not work, the most diligent party submits the dispute to the competent court in the district where WoodYouCare has its registered office.
